1. Agreement to Terms

Welcome to Baki. These Terms of Service ("Terms") govern your access to and use of our mobile application ("App") and website (collectively, the "Services"). By accessing or using Baki, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use our Services. By using Baki, you represent and warrant that:

  • You meet the age requirement
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations
  • You have not been previously suspended or removed from our Services

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. License and Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes.

By using our Services, you agree that we may collect analytics data (hashed user identifiers, feature usage events, device metadata) and error data (crash reports, performance metrics) to improve service quality, stability, and performance. This data collection is privacy-safe and does not include personal or financial information. See our Privacy Policy for details.

4.2 Restrictions

You agree NOT to:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or alter any proprietary notices or labels
  • Use automated systems (bots, scrapers) to access the Services
  • Interfere with or disrupt the Services or servers
  • Violate any applicable laws or regulations
  • Use the Services for illegal, harmful, or fraudulent purposes
  • Impersonate others or provide false information
  • Upload viruses, malware, or malicious code

5. User Content

5.1 Your Content

You retain ownership of all content you create or upload to Baki, including expense data, receipt images, notes, and other materials ("User Content"). By using our Services, you grant us a limited license to:

  • Store, process, and display your User Content to provide the Services
  • Use AI and machine learning to analyze receipts and extract transaction details
  • Create backups and perform technical operations

This license ends when you delete your User Content or close your account.

5.2 Content Responsibility

You are solely responsible for your User Content and warrant that:

  • You own or have rights to the content you upload
  • Your content does not violate any laws or third-party rights
  • Your content does not contain illegal, harmful, or offensive material

5.3 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or applicable laws, without notice.

6. Subscriptions and Payments

6.1 Free and Paid Plans

Baki offers both free and paid subscription plans ("Pro"). Subscription features, pricing, and billing cycles are described in the App.

6.2 Billing and Renewals

  • Subscriptions are billed through the Apple App Store or Google Play Store
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • You will be charged within 24 hours prior to renewal
  • Subscription management (upgrades, cancellations) is handled through your App Store or Google Play account

6.3 Refunds and Cancellations

Refunds are subject to Apple and Google's refund policies. We do not process refunds directly. You may cancel your subscription anytime, and you will retain Pro features until the end of your billing period.

6.4 Price Changes

We may change subscription prices at any time. Changes will not affect your current billing cycle but will apply to renewals. We will notify you in advance of price changes.

6.5 Usage Limits

Free plan users are subject to usage limits (e.g., 1 wallet, 5 AI scans per month). Exceeding these limits requires upgrading to Pro.

7. AI Receipt Scanning

Our AI receipt scanning feature uses machine learning to extract transaction details from images. You acknowledge that:

  • AI extraction may not be 100% accurate; you should review and verify extracted data before saving
  • We do not guarantee accuracy, completeness, or timeliness of AI results
  • You are responsible for ensuring accuracy of your financial records
  • Receipt images are processed on our own secure backend infrastructure using AI models. Images are encrypted at rest using AES-256 encryption after processing
  • Processing time may vary depending on image quality, file size, and server load (typically 2-10 seconds)
  • AI scanning is subject to usage limits on free plans. Pro subscribers receive unlimited AI scans

8. Abuse and Misuse of Services

We take abuse and misuse of our Services seriously. Any violation of these Terms may result in immediate action to protect our Services and other users.

8.1 Prohibited Conduct

In addition to the restrictions in Section 4.2, the following conduct is strictly prohibited and will result in immediate termination:

  • Service Abuse: Excessive API calls, automated scripts, or attempts to overwhelm our infrastructure
  • AI Scan Abuse: Uploading non-receipt images, spam files, or attempting to exceed usage limits through manipulation
  • Account Fraud: Creating multiple accounts to circumvent free tier limits or trial periods
  • Payment Fraud: Chargebacks, refund abuse, or providing false payment information
  • Data Scraping: Systematic extraction of data from our Services for external use
  • Security Violations: Attempting to access other users' accounts, exploit vulnerabilities, or compromise system security
  • Harmful Content: Uploading illegal content, malware, or content that violates applicable laws

8.2 Consequences of Abuse

Depending on the severity and nature of the violation, we may take the following actions:

  • Warning: First-time minor violations may result in a warning and request to cease the prohibited conduct
  • Temporary Suspension: Your account may be suspended for a specified period (typically 7-30 days)
  • Permanent Termination: Serious or repeated violations will result in immediate and permanent account termination without refund
  • IP/Device Ban: We may block specific devices, IP addresses, or payment methods to prevent future abuse
  • Legal Action: We reserve the right to pursue legal remedies, including reporting to law enforcement, for illegal activities or significant damages
  • Data Preservation: In cases of suspected fraud or illegal activity, we may preserve relevant data for law enforcement or legal proceedings

8.3 Appeals

If you believe your account was terminated or suspended in error, you may submit an appeal to support@baki.money within 30 days. We will review appeals on a case-by-case basis, but our decision is final.

8.4 No Refunds for Violations

Accounts terminated for violations of these Terms are not eligible for refunds of any kind, including unused subscription time. This policy applies regardless of when the violation occurred during your billing cycle.

9. Intellectual Property

8.1 Our Ownership

All intellectual property rights in the Services, including software, design, logos, trademarks, text, and graphics, are owned by us or our licensors. You may not use our trademarks or branding without prior written permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas, you grant us a perpetual, worldwide, royalty-free license to use them without compensation or attribution.

10. Third-Party Services

Our Services may integrate with third-party services (Apple Sign-In, Google Sign-In, payment processors, AI providers). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for third-party services or content.

11. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Accuracy, reliability, or completeness of the Services or content
  • Uninterrupted, secure, or error-free operation
  • AI accuracy or data extraction quality

WE DO NOT PROVIDE FINANCIAL, TAX, OR ACCOUNTING ADVICE. BAKI IS A TOOL FOR PERSONAL EXPENSE TRACKING ONLY. CONSULT A PROFESSIONAL FOR FINANCIAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, revenue, data, goodwill, or opportunities
  • Damages resulting from unauthorized access, data breaches, or security incidents
  • Errors or inaccuracies in AI-extracted data
  • Service interruptions, downtime, or technical issues

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Baki, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable laws
  • Your User Content
  • Infringement of third-party rights

14. Termination

14.1 Termination by You

You may terminate your account at any time by deleting it through the in-app settings (Settings → Account → Delete Account). Upon account deletion:

  • Deletion Timeline: All your personal data will be permanently deleted within 30 days
  • What Gets Deleted: All expenses, receipts, wallets, budget data, account information (email, name), and uploaded files
  • Subscriptions: Active subscriptions will remain valid until the end of your current billing period, but will not auto-renew. You should cancel your subscription through the App Store or Google Play before deleting your account to avoid future charges
  • Analytics Data: Your hashed user identifier will be disassociated from all historical analytics events, making them anonymous
  • What May Be Retained: Aggregated, anonymized analytics data (no personal information), and data required for legal or regulatory compliance purposes

Account deletion is permanent and irreversible. You will not be able to recover your data after deletion.

14.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent, illegal, or harmful activity
  • Abuse the Services or harm other users
  • Fail to pay subscription fees

14.3 Effect of Termination

Upon termination, your license to use the Services ends immediately. Provisions that should survive termination (disclaimers, limitations of liability, indemnification) will remain in effect.

14.4 Data After Deletion

After you delete your account, here's what happens to your data:

  • Immediate Effect: Your account becomes inaccessible immediately, and you can no longer sign in
  • Production Deletion: Within 30 days, all personal data, expenses, receipts, and files are permanently deleted from our production systems
  • Analytics Anonymization: Historical analytics events are disassociated from your hashed user ID, rendering them anonymous and non-attributable to you
  • Backup Systems: System backups may contain your data for up to 14 days for disaster recovery purposes, but this data is not accessible for normal operations and will be automatically purged
  • Legal Retention: Data required for legal, tax, or regulatory compliance (e.g., transaction records for tax authorities) may be retained for the legally required period (typically 7 years), stored securely and separately from active systems
  • Aggregated Data: Anonymized, aggregated statistics (e.g., "number of expenses created per month") may be retained indefinitely for business analytics, but contain no personal information

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, please contact us at support@baki.money to attempt to resolve the dispute informally.

15.2 Arbitration

Any disputes arising from these Terms or the Services will be resolved through binding arbitration, except where prohibited by law. You waive the right to a jury trial or class action lawsuit.

15.3 Governing Law

These Terms are governed by the laws of the jurisdiction where Baki is registered, without regard to conflict of law principles.

16. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Baki
  • Severability: If any provision is found invalid, the remaining provisions will remain in effect
  • Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms. We may assign our rights without notice
  • Force Majeure: We are not liable for delays or failures due to events beyond our control
  • No Agency: These Terms do not create a partnership, agency, or employment relationship

17. Changes to Terms

We may update these Terms from time to time. Material changes will be notified through the App or via email. Continued use after changes constitutes acceptance. If you do not agree to updated Terms, you must stop using our Services.
